Due Diligence

The due diligence procedure analyses planned actions in the legal sphere and assesses assets (including on-going businesses) prior to their acquisition. Due diligence lets you identify and overcome the risks associated with legal actions and acquisitions.

All aspects of the business of the acquisition target must be analysed as part of the due diligence procedure. Our lawyers are therefore assisted in their work by professional auditors, accountants, finance specialists, tax consultants and other skilled experts when necessary.

Our staff have extensive knowledge and expertise in due diligence work in various industries.

We have a full understanding of what our clients require from due diligence, and can focus on the entirety of a business or on specific aspects and operations, depending on what is needed in a particular case.

In their due diligence work lawyers at Pankov and Associates study and analyse:

  • a company’s regulatory acts;
  • corporate structure, including branches and representative offices;
  • rights to real estate;
  • rights of movable property;
  • rights to stocks and shares of other entities;
  • foreign trade activity;
  • contracts in force;
  • third-party claims in respect of the company;
  • financial, accounting and tax reporting;
  • legal disputes, in which the company is involved.

The outcome of due diligence is a comprehensive report containing:

  • an analysis of the company’s activities;
  • a list of documents and information that have been analysed;
  • a list of risks that have been identified, assessment of the probability of their occurrence and proposals for their minimisation.

Due diligence may take a few days or several weeks to complete, depending on what the client requires.

Taking decisions without prior due diligence may lead to serious adverse consequences.

Due diligence by specialists of Pankov and Associates will give you a full and accurate picture, enabling you to judge whether a proposed deal or investment is commercially attractive.

Pankov and Associates charges for services by the hour, i.e. the amount you pay is equal to the number of hours spent providing services multiplied by the hourly rate of the relevant consultant.
